Merchant of Record vs payment gateway (PSP): what is the difference?
A payment gateway (PSP) moves money: it processes the card, Pix or boleto and settles funds. A Merchant of Record is the legal seller on the transaction: it issues the compliant invoice, and calculates, collects and remits the taxes. The gateway handles the payment. The Merchant of Record handles the sale and its compliance. In Brazil, that gap is where foreign vendors get caught.
In one line: accepting reais tells you the money arrived, not that the sale was compliant.
The costly assumption
It is easy to assume that once you can accept payment in reais, you are selling in Brazil. You are not. A payment gateway confirms the money moved, but it does not issue a Nota Fiscal, does not classify or calculate the local taxes, and does not take on the tax liability. If that layer is missing, your buyer cannot recover the tax on the purchase and your transaction is exposed on compliance, no matter how smooth the checkout felt.
Who does what
Function | Payment gateway / PSP | Merchant of Record (WTM) |
Processes the payment (card, Pix, boleto) | Yes | Yes |
Legal seller of record | No | Yes |
Issues a compliant Nota Fiscal | No | Yes |
Calculates, collects and remits local taxes | No | Yes |
Enables buyer to recover CBS/IBS credits | No | Yes |
Takes on tax and compliance liability | No | Yes |
They are not rivals, they are different layers
A Merchant of Record does not replace your payment stack, it sits above it. Payments are one function inside the sale; the Merchant of Record owns the sale end to end, including the payment. If you already work with strong local payment infrastructure, the MoR uses it. What the MoR adds is everything the gateway was never meant to do: the invoice, the tax and the liability.
Who this is for
Founders and finance leaders who have "solved" Brazil by adding local payment methods and still see deals stall in procurement, or buyers asking for a Nota Fiscal they cannot produce. If your checkout works but your compliance does not, this is the distinction you need.
FAQ
Is a Merchant of Record the same as a payment gateway?
No. A gateway processes payments. A Merchant of Record is the legal seller that issues the invoice and handles tax collection, remittance and liability.
Is accepting payments in BRL enough to sell in Brazil?
No. Accepting reais handles the money, not the invoice, the tax or the buyer's ability to recover credits. That requires a compliant local seller.
Do I need both a gateway and a Merchant of Record?
The MoR owns the sale and uses payment infrastructure as one layer within it, so you get processing and compliance together rather than only processing.
Why does this matter for the tax reform?
Only a compliant local sale lets your Brazilian buyer recover CBS and IBS credits. A gateway alone does not create that documentation.
